Terms of use — Dictavo

DRAFT for legal review (version 2026-10-28-borrador). Items in [BRACKETS] must be completed.

These terms govern the use of Dictavo, a service of [DEVBOX LEGAL NAME] ("DevBox", Querétaro, Mexico), by the company that subscribes to it (the "Client") and the people the Client gives access to ("Users"). By accepting "Before you start" or using Dictavo, the Client and the User accept these terms.

1. What Dictavo is

Dictavo transcribes meetings in real time and, with artificial intelligence, suggests what the User could say, answers questions, detects needs and writes summaries. It can join the call as an agent (a named participant) that speaks or writes only when the User asks, or run in silent mode on the User's device.

2. Roles: controller and processor

For the personal data of meeting participants, the Client is the controller and DevBox is the processor / service provider. DevBox processes that data only to deliver the service, under these instructions and the Client's settings, with reasonable security measures, through the subprocessors listed in the Privacy notice, and returns or deletes it when the service ends. [REVIEW: data processing addendum (DPA) with LFPDPPP 2025 and CCPA service-provider terms.]

3. Notice to and consent of participants

The Client is responsible for informing every participant that the meeting is transcribed and analyzed with AI and, where the law requires it, for obtaining their consent before using Dictavo.

In the United States some states require the consent of all parties to record or intercept a conversation: California, Florida, Illinois, Maryland, Massachusetts, Montana, New Hampshire, Pennsylvania and Washington. As a precaution the Client must also treat Nevada, Delaware and Connecticut as all-party consent states. If any participant is in one of these states, the Client will obtain everyone's consent. If someone objects, the User must stop using Dictavo in that meeting.

To help, the Dictavo agent introduces itself when it joins (one spoken line and the same message in the chat, in Spanish and English, repeated in the chat when someone else joins). That introduction does not replace the Client's notice and consent. If the Client turns it off (Settings › Privacy), the Client takes full responsibility for informing participants. In silent mode the panel reminds the User to inform them before the call.

4. Prohibited uses

The Client and Users will not use Dictavo for: (1) covert recording or transcription, or without the notice and consent the law requires; (2) medical or health conversations (including HIPAA-protected information); (3) legal or privileged conversations; (4) meetings with minors; (5) making or supporting HR decisions (hiring, evaluation, termination) or any automated decision affecting people's rights; (6) identifying people by their voice, building biometric profiles or monitoring employees; (7) any unlawful or deceptive purpose.

5. The agent does not bind the User

The agent cannot make commitments on behalf of the User or the Client. Its answers and suggestions are informational: not an offer, a quote, a promise of timelines, prices, discounts or results, nor legal, tax, financial or medical advice. The User is responsible for what they say and agree to in the meeting.

6. No accuracy warranty

Transcripts, suggestions, answers, searches and summaries are generated automatically and may contain errors or omissions. Dictavo is provided "as is" and "as available", without warranties of accuracy, completeness, continuous availability or fitness for a particular purpose, to the extent the law allows.

7. Limitation of liability

To the extent the law allows, DevBox is not liable for indirect damages, lost profits, lost data or lost business opportunities arising from the use of Dictavo, and its total liability to the Client will not exceed what the Client paid for the service in the [12] months before the event giving rise to it. This does not limit liability that cannot be limited by law.

8. The data belongs to the Client

The Client owns its data: audio, transcripts, knowledge files, summaries and other outputs. DevBox does not use it to train AI models unless the Client expressly opts in in writing, and does not sell it. The Client can delete it at any time.

9. The agent's voice

The agent's voice is a synthetic voice from a licensed provider (ElevenLabs or another the Client chooses), used under its terms. The Client will not use Dictavo to imitate a real person's voice without their permission, or to pass the agent off as a person: the agent always identifies itself as an AI assistant.

10. Subscription, included hours, overage and cancellation

The service is a [monthly / annual] subscription with a number of included meeting hours per period depending on the plan. Hours above those included are billed as overage at the current plan rate. Prices, plans and taxes are given in the quote or at [PRICING URL]; Dictavo shows no prices inside the app. The Client can cancel at any time, effective at the end of the paid period; no pro-rata refunds unless the law requires them. After termination the Client can export its data for [30] days; it is then deleted. DevBox may suspend the service for non-payment or prohibited use, with prior notice where possible. [REVIEW final commercial terms.]

11. Changes, governing law and jurisdiction

DevBox may update these terms; for material changes the app asks for acceptance again. These terms are governed by the laws of Mexico and disputes go to the competent courts of Querétaro, Querétaro, unless the law applicable to the User provides otherwise. [REVIEW for US clients.]
